Please read this Terms of Service (“Terms”, “Terms of Service”) carefully before using the baseworks.com and practice.baseworks.com websites (collectively, the “Websites”) operated by Baseworks International: 9472 4374 Québec Inc., a Limited Partnership formed in Quebec, Canada, and Shaspo, LLC, formed in Estonia (collectively, “us”, “we”, “our”), as this Terms of Service contains important information regarding limitations of our liability. Your access to and use of the Websites is conditional upon your acceptance of and compliance with these Terms. These Terms apply to everyone, including but not limited to visitors, users, and others, who wish to access and use the Websites.

By accessing or using the Websites, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you do not have our permission to access or use the Websites.


We offer goods, services, and digital products on the Websites.

The price of these goods, services, and digital products can be found listed on the Websites. This price does not include taxes or other fees that you may be charged.


When you make a purchase on baseworks.com, your payment information is collected and processed by Baseworks International: 9472 4374 Québec Inc., a Limited Partnership formed in Quebec, Canada. When you make a purchase on practice.baseworks.com, your payment information is collected and processed by Shaspo, LLC, formed in Estonia. For purchases on either website (collectively, the “Websites”), you will be able to choose the third-party payment processor to collect your payment information and process your payment. When you make a purchase, you will be presented with a payment form using one of the following third-party payment processors: Apple Pay, BitPay, Google Pay, PayPal, and Stripe. We are not responsible for the collection, use, sharing, or security of your billing information by these third-party payment processors. The following payment methods are accepted by the third-party payment processors: American Express, Discover, MasterCard, Visa, and Buy Now, Pay Later (BNPL): Klarna, Affirm (where available); Local Payment Methods: iDEAL, P24, EPS, Bancontact, SEPA Direct Debit, BECS, Bacs, Boleto, FPX, Grabpay, OXXO, Multibanco.

You hereby represent and warrant that you have the legal right to use the payment method(s) in connection with any purchase and that the information you supply to us and to the third-party payment processor(s) is true, correct, and complete.


We do not offer you the ability to cancel any purchases that you have made of the goods, services, and digital products offered on our Websites. We reserve the right to cancel your purchase for any reason, at our sole discretion, including but not limited to fraud, inaccuracies, and unavailability of the items or services purchased. We will provide you with the following notice prior to cancelling your purchase: We reserve the right to cancel a customer’s access to our services, including online activities and in-person events, if their actions are deemed harmful to administrators, other users, or the platform. The notice period prior to cancellation will depend. We will not be able to issue you a refund of the purchase price that you paid if we cancel your purchase.


Unless otherwise specified, we do not offer refunds on any purchases of goods, services, or digital products offered on or through our Websites. Where a refund is explicitly offered for a specific product or service, any applicable processing fees (e.g., payment processing or transaction fees) will not be refunded unless stated otherwise.


We may ask you to provide an advance payment on any purchase made of the goods, services, and digital products offered on our Websites. An advance payment is a partial payment of the total purchase price that will help pay for our actual expenses while providing the goods, services, and digital products. We will not be able to issue you a refund of the advance payment that you made if we cancel your purchase. We do not offer you the ability to cancel any purchases that you have made of the goods, services, and digital products offered on our Websites. As such, we do not refund advance payments.


We may ask you to provide a deposit for purchases made of the goods, services, and digital products offered on our Websites. A deposit is a payment made to reserve the goods, services, and digital products. We will not be able to issue you a refund of the deposit that you made if we cancel your purchase. We do not offer you the ability to cancel any purchases that you have made of the goods, services, and digital products offered on our Websites. As such, we do not refund deposits.


THE ITEMS OR SERVICES DISPLAYED OR SOLD ON OUR WEBSITES ARE PROVIDED “AS IS”. NO WARRANTY, EXPRESS OR IMPLIED (INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, OF SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE) SHALL APPLY TO ANY ITEMS OR SERVICES DISPLAYED OR SOLD ON OUR WEBSITES, WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE.


You agree that the remedy for breach of this Terms of Service as it relates to your purchase shall be to pursue dispute resolution as provided in the “governing law, severability, dispute resolution, venue and class action waiver” section below. This remedy is intended to be your sole and exclusive remedy for any breach of this Terms of Service as it relates to your purchase.


Subscriptions and Instalments (Recurring Payments)

Our Websites feature products or services that are offered via a recurring payment model, which includes subscriptions and instalment plans. A subscription model requires regular payments to receive a product or service. An installment plan allows to split the payment amount for goods or services to multiple payments. The term of recurring payments varies depending on the specific product and its selected variation, as outlined in the product offer details at the time of purchase.

WE DO NOT OFFER THE OPTION TO REVOKE YOUR RECURRING PAYMENT PURCHASE AFTER MAKING YOUR PURCHASE.

THERE IS NO MINIMUM PURCHASE REQUIRED TO QUALIFY FOR THE SUBSCRIPTION.

Automatic Renewals of Recurring Payments (Subscriptions and Instalments)

When you purchase a recurring payment plan on the websites, your recurring payment plan will automatically renew at the frequency specified in the product offer details at the time of purchase, which depends on the selected recurring payment plan duration. We will automatically renew your recurring payment plan by using the payment method on file.

You may cancel the automatic renewals of your subscription plan via your account on the websites at any time prior to the automated renewal date. Please note that if you cancel your subscription, you will continue to receive the items or services provided by the subscription until the subscription expiration date.

For recurring payments related to installment plans, you cannot cancel the recurring payments. Your recurring payments related to installment plans will continue until the full amount has been paid. In the event that the provided payment method fails during the automatic renewal process, you will lose access to the service.

We will not accept subscription plan cancellation requests via email or form submissions. You must cancel your subscription yourself from your account.


When you create an account on our Websites, you guarantee that you are 18 years of age or older and that the information that you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Websites.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Websites or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. We reserve the right to terminate your account anytime at our sole discretion. You can terminate your account by contacting us.

One person is only allowed to register one account on our Service. You must notify us immediately upon becoming aware of having two separate accounts. We will initiate a process of merging your accounts into one.

Each account can be only used by one person. If it becomes evident that two or more people are using the same account, it constitutes a breach of the Terms, which may result in immediate termination of your account on our Websites without refund.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.


Terms and Conditions for Unlimited Access Offerings

The following terms and conditions govern your purchase and use of “Unlimited Access” offerings on the baseworks.com and practice.baseworks.com websites (collectively, the “Websites”), operated by Baseworks International: 9472 4374 Québec Inc. and Shaspo, LLC. By purchasing any “Unlimited Access” option, you agree to these terms.

  • Unlimited Access: By purchasing “Unlimited Access” for any online offerings, you will have access to the content for as long as the Websites are operational, subject to the conditions below. Unlimited access may not apply to entirely new versions of the offerings or in the event of a change in ownership of the offerings, such as an acquisition or transfer of Baseworks International: 9472 4374 Québec Inc. or Shaspo, LLC.
  • Additional “Limited” Conditions: Additional “limited” conditions may apply to add-ons for specific Unlimited Access offerings.
  • Content Updates: We regularly update and improve our educational content. As a result, some materials may be modified, replaced, or removed. While you will retain access to the material, certain content may be updated or revised over time.
  • Site Availability: Although we strive to maintain continuous operation of our websites, we cannot guarantee indefinite availability. Access to the course is contingent upon the website’s ongoing operation.
  • No Transfer of Ownership: Purchasing access to any online offerings does not transfer any ownership rights. Online offerings are for personal use only and may not be shared, copied, sold, or distributed.
  • Acceptance of Terms: By purchasing any “Unlimited Access” option, you agree to these terms and conditions. Baseworks International: 9472 4374 Québec Inc. and Shaspo, LLC reserve the right to update these terms as necessary. The timing of any changes will be accurately represented on our Websites.

Participation Guidelines / Cancellation Policy / Support / Waiver

Your decision to participate in our events or subscribe to our online, virtual, and subscription-based products supports a crucial aspect of our educational development. We are honored to work with you on developing your learning trajectories.

To ensure a positive experience for everyone and to clarify details about our policy and waiver, please take a moment to thoroughly review all the information on this page before purchasing any of our events or educational products.

  • The purchase of any event, whether in-person or virtual, is non-refundable. However, should you be unable to attend an event, you have the option to designate a substitute attendee in your place. To facilitate this, kindly notify us by sending an email in advance.
  • On occasion, if we do not have the desired number of participants for an event, we may decide to cancel or reschedule it four weeks prior to the event date. In this case, all participants will have the option to either receive a full refund or transfer their booking to the rescheduled event.
  • If you book and pay for events at the student price but fail to present a valid student ID on the day of the event, you will be required to pay the difference to the full price in order to be admitted. If you are unable or unwilling to pay the difference, you will not be accepted, and your tuition will not be refunded.

In-Person and Virtual Participation Considerations / Guidelines

  • Event Punctuality: We kindly ask that you arrive at least 15 minutes prior to the start time of our events to ensure a smooth beginning.
  • Online Course Participation: Some online courses must be completed within a specific timeframe. If you do not finish these courses in the allotted period, you will lose access at the end of that timeframe.
  • Open-Minded Attitude: While our topics can challenge conventional thinking in the health, medical, and science fields, we’re not here to convince you that our education is the be-all and end-all. Feel free to embrace a “take-it-or-leave-it” attitude to make the most of your experience. With this in mind, we also invite you to temporarily put aside strong opinions and approach our events with an open and inquisitive mindset.
  • Engage Openly: While discussions are encouraged, we kindly ask that you treat all instructors and fellow participants with maturity, respect, and courtesy.
  • Feedback and Communication: We place a high value on diverse perspectives and welcome correction, suggestions, and feedback from participants. To ensure that our events run smoothly and stay on schedule, we encourage you to share your thoughts after each event using the designated forums on our practice platform or through the Website’s contact form. Your input is of great importance to us.

Multiple Day/Session Guidelines (Immersions, Workshops, Intensives, Study Groups, Study Labs, etc.)

  • You are not required to attend every session, and it’s perfectly fine if you miss some. However, if you purchase an early enrolment offering or pass and do not attend all the sessions, you will forfeit the cost of missed sessions for that event’s period.
  • If you’re uncertain about attending all sessions, we recommend buying single passes (if available) instead. Please note that single-pass purchases are valid only for the designated event. For example, if you buy four single passes but only attend three, you will still lose the fee for the pass you didn’t use.
  • We encourage participants to arrive early, as entry may not be permitted once sessions begin.
  • Events have limited capacity. Capacity limits for some events may be displayed on your dashboard; please check and reserve your spots in advance. If you are late or fail to attend the session you booked, your place may be given to someone else or to others who are waitlisted.

Certain events, programs, or offerings on the Websites are sold as passes, session credits, or ticket packages valid for a defined period (an “Event Period”). The applicable Event Period is specified in the product or event description at the time of purchase.

  • Validity: Passes, session credits, or tickets purchased for a specific Event Period are valid only within that Event Period. They cannot be transferred, applied, or carried over to any future Event Period, program season, or offering, even if the same or a similar event is offered again at a later date.
  • Expiry: Any passes, credits, or tickets that remain unused at the end of the applicable Event Period expire automatically and are forfeited without refund or compensation.
  • Cancellation and rebooking: Where an event permits self-booking of individual sessions within the Event Period, bookings may be cancelled and rebooked within the same Event Period subject to the cancellation terms specified in the product or event description. Each event specifies its own cancellation window; cancellations made within that window are eligible for credit return to your account for rebooking within the same Event Period. Cancellations made after the stated deadline are not eligible for credit return.
  • No cross-period transfers: Purchased passes, credits, or tickets cannot be transferred from one Event Period to another under any circumstances, including if you were unable to attend sessions during the original Event Period.
  • Capacity and availability: Sessions within an Event Period may have limited capacity. Booking is on a first-come, first-served basis. Purchasing a pass or credits for an Event Period does not guarantee availability for any specific session date within that period.

If you are unable to attend the workshop due to developments in the spread of COVID-19, future pandemics of any kind, or natural disasters, we offer refunds in the following scenarios:

  • If government mandates or measures impose the cancellation of the scheduled event.
  • If you are unable to travel to the country where the event is taking place due to flight restrictions.
  • If there is a ban on flights from your country of departure to the country of the event, or if the country of the event’s government is not allowing incoming flights from your country of departure during the event.

Health Issues, Family Emergencies, or Political Constraints

If you are unable to attend the event due to a serious medical condition, an urgent family matter, or political restrictions in your country, please contact us via email to explain your situation. We will make every effort to accommodate your request for a refund or explore the option of transferring your purchase to a future event.

  • As a social enterprise, we strive to provide our educational offerings to everyone, regardless of financial circumstances. If you can’t afford our events, we offer scholarships. Contact us for details.
  • Workshop locations are subject to change, and participants will receive prompt notification in the event of any such changes.

By participating in any Baseworks events, classes, or workshops, whether offline or online, you acknowledge that these activities may involve physical movements. As is the case with any physical activity, there is always a risk of injury, including severe or disabling injuries, which cannot be entirely eliminated.

Furthermore, by participating in any Baseworks events, classes, or workshops, you affirm that if you do have any medical condition that may worsen from your participation, you assume full responsibility for any risks or injuries you may experience as a result of your involvement.

In the event of pain or discomfort during your participation, you are responsible for assessing your physical condition, informing the facilitator, adjusting the intensity of your activities, or discontinuing your participation as needed.

During any Baseworks events, photographs and videos may be taken of participants, and in-person and virtual events may be recorded.

By completing your booking/registration and/or payment for any Baseworks event (virtual or in-person) or subscription products online, you agree to release and waive any claims against Baseworks related to physical injuries that may occur during your participation in any events or the use of subscription products. Additionally, you grant Baseworks the irrevocable and unrestricted right to use and publish photographs or videos of you, or in which you may be included, for any lawful purpose, including but not limited to promotional and advertising purposes, as well as for internal documentation and the creation of new educational materials. This use may comprise various media, including television, print, online, and video. You may request to be excluded from being photographed or filmed by submitting a request at least 1 day prior to the event day.


Our educational programming, including in-person events, workshops, and online courses, is delivered in English unless otherwise specified in the product or event description. Supporting materials in other languages, such as subtitles, community discussions, or supplementary content, may be available where indicated.

By purchasing any educational product, event registration, or course offering on the Websites, you acknowledge and accept that instruction will be delivered in the language specified in the product or event description.


From time to time, we may offer promotional, discounted, or campaign-specific pricing for certain products or services. Such pricing is available only through the specific pages, links, or offers designated for that promotion. Prices for the same or similar products or services may vary across different pages or offerings on the Websites. It is your responsibility to review the price and product details presented to you before completing your purchase.

Purchasing a product or service at a price different from a promotional or campaign price available elsewhere on the Websites does not constitute a pricing error, technical issue, or grounds for a refund, price adjustment, or credit. Each purchase is a separate, voluntary transaction completed at the price displayed at the time of checkout. Refunds will not be issued on the basis that a different price was available through a different page, link, or promotional offer.

THE AGGREGATE LIABILITY OF BASEWORKS INTERNATIONAL: 9472 4374 QUÉBEC INC. OR SHASPO, LLC ARISING OUT OF OR RELATING TO THE WEBSITES, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE SHALL BE LIMITED TO THE AMOUNT OF FEES ACTUALLY RECEIVED BY BASEWORKS INTERNATIONAL: 9472 4374 QUÉBEC INC. OR SHASPO, LLC FROM YOU.

THIS LIMITATION OF LIABILITY REFLECTS THE ALLOCATION OF RISK BETWEEN YOU AND US. THE LIMITATIONS SPECIFIED IN THIS SECTION WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THESE TERMS OF USE IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IF, DESPITE THE LIMITATION ABOVE, BASEWORKS INTERNATIONAL: 9472 4374 QUÉBEC INC. OR SHASPO, LLC IS FOUND LIABLE FOR ANY LOSS OR DAMAGE WHICH ARISES OUT OF OR IN ANY WAY CONNECTED WITH ANY OF THE OCCURRENCES DESCRIBED ABOVE, THEN THE LIABILITY OF BASEWORKS INTERNATIONAL: 9472 4374 QUÉBEC INC. OR SHASPO, LLC WILL IN NO EVENT EXCEED THE SERVICE FEES YOU PAID TO BASEWORKS INTERNATIONAL: 9472 4374 QUÉBEC INC. OR SHASPO, LLC IN CONNECTION WITH SUCH TRANSACTION(S) ON THE WEBSITES.

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Websites infringes on the copyright, trademark or other intellectual property rights of any person or entity.

If you believe in good faith that the Content infringes on your intellectual property rights, you or your agent may send us a written notice of such infringement titled “Infringement of Intellectual Property Rights - DMCA.” Your notice to us must include the following information:

Governing Law, Severability, Dispute Resolution, Venue and Class Action Waiver

These Terms shall be governed and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of laws provisions, except where mandatory local laws apply to transactions processed by Baseworks International: 9472 4374 Québec Inc. or Shaspo, LLC on the baseworks.com or practice.baseworks.com websites (collectively, the “Websites”). THESE TERMS SHALL NOT BE GOVERNED BY THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE SALE OF INTERNATIONAL GOODS, THE UNIFORM COMMERCIAL CODE, NOR INCOTERMS.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between you and Baseworks International: 9472 4374 Québec Inc. and Shaspo, LLC regarding the Websites, and supersede and replace any prior agreements we might have had with you regarding the Websites.

Any controversy or claim arising out of or relating to these Terms, including but not limited to the interpretation or breach thereof, shall be resolved in a court of competent jurisdiction in Quebec, Canada, except where mandatory local laws grant you the right to pursue claims in your jurisdiction. To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
